LIANZA Code of Practice
Introduction
This Code of Practice is issued by the New Zealand Library Association (operating as LIANZA) Te Rau Herenga o Aotearoa incorporated under the authority of Rule 44 of the Association Rules. (This Introduction was last amended by the National Council on 1 May 2008.) Note: The INTRODUCTION document is an integral part of the Code of Practice. All Parts of the Code of Practice are freely available to all members and sub-groups, on request. The complete Code of Practice is available on this website. Preamble 1.1 " ... the NZLA Futures Group recognises also that there is a need for a Code of Practice containing clear statements of the policy and procedures that are to be followed, day to day, in the running of the Association. Such a code could cover, for example, the conduct of meetings and the running of elections; arrangements for awards; and the financial authorities of parts of the Association. The code would be available to all members. The National Executive would have authority to amend the code (consulting Regional Councils or Special-Interest Groups as necessary), but would be accountable to members at all times for its content. The NZLA Futures Group recommends that - 6.3.1 The Association develop a Code of Practice to guide the running of the day-to-day activities of the Association." Wellington; New Zealand Library Association, March 1990. p. 20) 1.2 "(i) The Association shall have a Code of Practice, which shall contain the procedures and guidelines for the running of day-to-day activities, including such matters as Standing Orders for meetings and conferences and procedures for the election of officers and members of the Council. The Code of Practice is made under the authority of the Rules of the Association and where there is any conflict between the Code and the Rules, the Rules shall have precedence. (ii) The Code of Practice may be amended or altered by the Council, provided appropriate consultation takes place with any part of the Association which would be affected by such amendment. All amendments shall be reported to members." (Rule 44) 2.1 The Code of Practice is divided into five Parts. These are as follows- Part 1 - General Administration and Procedure 3.1 The Code of Practice is available on the LIANZA website. Any member or sub-group may request printed copies of the whole or any part or parts of the Code of Practice from the LIANZA Business Development Manager free of charge. If a part or parts are requested, the INTRODUCTION shall also be supplied with them. 4. DEFINITION - BUSINESS DEVELOPMENT MANAGER 4.1 The title Business Development Manager used in the Code of Practice is the current title under which the senior employee of the Association is employed. This position is identical to, and coincides with, the position of Council Secretary as defined in Rule 2. If the employment title is changed then the title used in the Code of Practice will be changed automatically. 5.1 All proposals to amend the Code of Practice, whether initiated by National Council; the Rules Committee; or others; will comply with the requirements set down for amending the Code of Practice. 5.2 The precise wording of amendments to the Code of Practice will be recorded, either in National Council minutes for the meeting at which they are adopted, or in a paper adopted at that meeting. 5.3 Subject to the direction of a general meeting of the Association, National Council is the final authority for the wording of the Code of Practice but it will consult the Rules Committee whenever proposals to amend the Code of Practice are considered. 5.4 Any amendments to the Code of Practice shall be promptly notified to members and sub-groups. No amendment to the Code of Practice shall take effect until one calendar month after it has been notified to members. 5.5 Where National Council considers that a major review of the Code of Practice, or any part of the Code of Practice is required, Council may delegate the powers to carry out such a review to a panel, group or subcommittee. Such delegation shall not include the power to make changes to the Code of Practice but only to put forward recommendations for change. 5.6 Recommendations for change to the Code of Practice made as a result of any review set up under the provisions of clause 5.5 will be reported to the National Council via the Rules Committee pursuant to the duties of that Committee. 5.7 The Rules Committee, or individual members of the Rules Committee may be appointed to carry out or take part in any review of the Code of Practice set up under the provision of clause 5.5 6.1 National Council will appoint a Rules Committee to oversee the maintenance, wording and provisions of the Code of Practice; or for any other purpose as decided by Council from time to time.
6.2 Membership 6.2.1 The Rules Committee will consist of three members, including a representative from Council. The initial term of appointment will be for five years. Members may be reappointed. The length of subsequent terms will be decided at the time of reappointment by those involved but will not exceed five years. One member will be designated by National Council to act as Chair of the Rules Committee. 6.2.2 Members of the Rules Committee will be chosen from Association members of long standing who are known to have an interest and ability in the constitutional processes of the Association and who have already taken some effective part in such activities. There will be an emphasis on long-term understanding of Association policy, the requirements of the Association Rules, the provisions of the Code of Practice and on the retention of corporate memory. The Chair of the Rules Committee will be consulted when members of the committee are either appointed or reappointed. 6.2.3 Members of the Rules Committee will be appointed at the first meeting after the Council's election. 6.2.4 Extraordinary vacancies will be filled as and when required but will comply with all other provisions for the appointment of members to the Committee.
6.3 Duties and Powers 6.3.1 The Rules Committee will ensure that the Code of Practice is kept up-to-date, is clearly phrased and reflects National Council decisions on policy. They will ensure that there is continuity and compatibility (an internal cohesiveness) between different sections of the Code and between the Code and the Association Rules. 6.3.2 The Rules Committee will be responsible for ensuring that any published version of the Code of Practice is both up-to-date and accurate. 6.3.3 The Rules Committee will advise National Council when it considers that changes to the Code of practice are required and will recommend appropriate amendments for Council's approval. 6.3.4 The Rules Committee may seek advice from others as it sees fit.
6.4 Association Rules 6.4.1 The Rules Committee will also advise National Council, where possible, on proposals to change the Rules of the Association and will itself maintain a watch on the provisions of the Rules to ensure they remain relevant to the needs of the Association. It will recommend rule changes to National Council as it deems necessary. 7.1 Where there is any dispute, or need for clarity, in the interpretation of the Code of Practice, or of the Rules of the Association, then the Rules Committee will be asked to give its opinion as to the precise meaning of the words in question. 7.2 Interpretations given by the Rules Committee will be followed - subject to final appeal to, and determination by, National Council
